Terms of Service

1. Agreement to terms

These Terms of Service ("Terms") are a legally binding agreement between you and Wesker LLC ("Wesker," "we," "us," or "our"). They govern your access to and use of all websites, applications, and services operated by Wesker (collectively, the "Services"). By accessing or using any of our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.

2. Eligibility

You must be at least 13 years old to use our Services. By using our Services, you represent that you meet this age requirement. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

3. Accounts

Our Services use third-party OAuth providers (such as Google, GitHub, or Apple) for authentication. You are responsible for maintaining the security of your third-party account credentials. You are responsible for all activity that occurs under your account. Notify us immediately if you believe your account has been compromised.

We reserve the right to suspend or terminate your account at any time, with or without notice, for conduct that we determine violates these Terms or is harmful to other users, us, or third parties.

4. Paid services and billing

Some of our Services require payment. When you purchase a paid Service:

  • All payments are processed by Stripe. Your use of Stripe is subject to Stripe's terms of service.
  • Prices are displayed in the applicable Service at the time of purchase. We may change pricing at any time, but changes will not affect your current billing period.
  • Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date. You can cancel at any time through the applicable Service.
  • Refunds are handled on a case-by-case basis. Contact us if you believe you are entitled to a refund.

5. Acceptable use

You agree not to use our Services to:

  • Violate any applicable law, regulation, or third-party rights.
  • Upload, transmit, or distribute any content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable.
  • Interfere with or disrupt the integrity or performance of our Services, including attempting to gain unauthorized access to any systems or networks.
  • Use automated means (bots, scrapers, crawlers) to access our Services without our prior written consent.
  • Reverse engineer, decompile, or disassemble any part of our Services.
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity.
  • Use our Services to send spam, phishing, or other unsolicited communications.

We reserve the right to remove content and suspend or terminate accounts that violate these terms, at our sole discretion and without prior notice.

6. Your content

You retain ownership of any content you create, upload, or otherwise provide through our Services ("Your Content"). By submitting Your Content, you grant us a limited, non-exclusive, worldwide license to use, store, and process Your Content solely as necessary to operate and provide the Services to you.

You are solely responsible for Your Content and represent that you have all rights necessary to grant us this license. We do not claim ownership of Your Content.

7. Intellectual property

All rights, title, and interest in our Services — including the design, code, text, graphics, logos, and trademarks — are owned by Wesker LLC or our licensors. These Terms do not grant you any right to use our branding, logos, or trademarks without our prior written consent.

8. Third-party services

Our Services may integrate with or link to third-party services (such as OAuth providers and Stripe). We are not responsible for the content, privacy practices, or terms of any third-party services. Your use of third-party services is at your own risk and subject to their respective terms and policies.

9. Disclaimer of warranties

Our Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our Services will be uninterrupted, error-free, or secure.

10. Limitation of liability

To the maximum extent permitted by applicable law, Wesker LLC and its members, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, use, or goodwill, arising out of or related to your use of our Services, regardless of the theory of liability.

Our total aggregate liability for all claims arising out of or related to these Terms or our Services shall not exceed the greater of (a) the amount you paid us in the twelve months preceding the claim, or (b) one hundred US dollars ($100).

11. Indemnification

You agree to indemnify, defend, and hold harmless Wesker LLC, its members, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of our Services, your violation of these Terms, or your violation of any rights of a third party.

12. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws provisions. Any disputes arising out of or related to these Terms or our Services shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

13. Termination

You may stop using our Services at any time. You may request deletion of your account by contacting us. We may suspend or terminate your access to our Services at any time, for any reason, without prior notice or liability.

Upon termination, your right to use the Services ceases immediately. Sections 6 through 12 of these Terms survive termination.

14. Changes to these terms

We may revise these Terms at any time by updating this page. When we make material changes, we will update the "Effective date" at the top and, where appropriate, notify you through the affected Service. Your continued use of our Services after any changes constitutes your acceptance of the revised Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
